Terms of Service

1. Agreement to Terms

Welcome to Agentic Tower. These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or the “Architect”), and Agentic Tower (“we,” “us,” or “our”), concerning your access to and use of the Agentic Tower platform as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. Description of Service

Agentic Tower provides a platform where users (“Architects”) can design, build, manage, and monetize their own digital businesses, envisioned as “Towers.” This is achieved by using our “Build by Talking” engine, hiring specialist AI employees (“Agents”) from our “Recruitment Center” (AI App Store), and deploying the final product from the “Penthouse.” The platform also allows third-party developers to create and sell Agents and other components.

3. User Accounts

To access most features of the Service, you must register for an account. You agree to:

  • Provide true, accurate, current, and complete information about yourself as prompted by the registration form.

  • Maintain and promptly update your account data to keep it true, accurate, current, and complete.

  • Maintain the security of your password and accept all risks of unauthorized access to your account.

  • Promptly notify us if you discover or otherwise suspect any security breaches related to the Service.

You are responsible for all activities that occur under your account.

4. User-Generated Content and Intellectual Property

Our Service allows you, the Architect, to create content, including but not limited to software applications, workflows, text, and other materials (“User Content”).

  • Your Ownership: You retain full ownership of the intellectual property rights to the unique User Content you create on the Service. We do not claim any ownership rights over your Towers or the products you build within them.

  • License You Grant to Us: In order to operate and provide the Service, you grant Agentic Tower a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business. This license is solely for the purpose of providing, operating, and improving the Service. For example, we need this license to host your Tower, run its operations, and display it to end-users as you direct.

  • Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all the necessary rights, licenses, consents, and permissions to publish the User Content you submit.

5. Developer Terms

If you submit Agents or other content to our Recruitment Center (“Developer Submissions”), you agree to the following:

  • You grant us the right to market and sell your Developer Submissions on the platform.

  • You are solely responsible for your Developer Submissions, including any bugs, security vulnerabilities, or other issues.

  • You must comply with our security guidelines, which may include automated scanning and manual code review. We reserve the right to reject or remove any Developer Submission for any reason.

  • You will set the price for your Developer Submissions, and we will process transactions on your behalf, remitting payment to you minus a platform fee, which will be specified in a separate Developer Agreement.

6. The $AGTW Token

The $AGTW token is the official currency of the Agentic Tower ecosystem.

  • Utility: The token is used to hire Agents, power Tower operations, and conduct transactions within the Recruitment Center.

  • No Investment Advice: The information on our platform does not constitute investment advice, financial advice, trading advice, or any other sort of advice, and you should not treat any of the platform’s content as such.

  • Risk: The value of cryptographic tokens is volatile. You acknowledge and agree that the value of $AGTW can fluctuate and that you may lose value. We are not responsible for any losses you may incur.

7. Prohibited Conduct

You agree not to use the Service to:

  • Create or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

  • Build any application that infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any party.

  • Introduce malware, spyware, viruses, or any other malicious code.

  • Attempt to gain unauthorized access to our systems, other users’ accounts, or any part of the Service through hacking, password mining, or any other means.

  • Use the Service for any purpose that is illegal or prohibited by these Terms.

8. Termination

We may suspend or terminate your account and your access to the Service at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL AGENTIC TOWER, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your User Content, your use of the Service, or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties irrevocably consent to the personal jurisdiction and venue therein.

12. Changes to Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
